These terms govern your use of MYCOBI services. Please read them carefully.
You are accessing MYCOBI during the Early Access period.
The MYCOBI Platform officially launches on April 1, 2026. These Terms of Service are in effect now and apply to all early access use. On April 1, 2026, these terms continue in full force. All users who create accounts on or after April 1, 2026 are automatically enrolled in the MYCOBI Insider Program (§42).

These Terms of Service govern your access to and use of the MYCOBI Platform. By creating an account or using our services, you agree to these terms and our Privacy Policy. If you don't agree, don't use MYCOBI.
"Accredited Investor" for Users in the United States shall have the meaning set forth under United States Securities laws, as discussed in the section entitled "Accredited Investors" below, and for Users outside of the United States shall have the equivalent meaning, if any, as set forth in the applicable securities laws in such User's jurisdiction of residence.
"Content" means all information and content available on the MYCOBI Platform (if uploaded by MYCOBI, "MYCOBI Content", and if uploaded by a User, "User Content") and its "look and feel", except all User submissions, including but not limited to trademarks, logos, service marks, copyrighted works, text, graphics, logos, button icons, images, audio/video clips, data compilations and software, and the compilation and organization thereof.
"MYCOBI" means MYCOBI, Inc., a Florida C Corporation, with its principal place of business at 10722 Firebrick Ct, Trinity, FL 34655, and owner of the MYCOBI Platform.
"Services" refers to all products and services provided to you by MYCOBI.
"Advisor" means any individual or entity that provides guidance, mentorship, strategic counsel, or support services to founders or companies through the MYCOBI Platform. Advisors include, but are not limited to: independent consultants, fractional executives, business mentors, coaches, accounting firms, law firms, and service providers engaged in an advisory capacity. Advisors may be affiliated with an Organization or may operate independently.
"Advisory Program" means a structured program through which Advisors engage with founders or companies on the MYCOBI Platform, including but not limited to incubator programs, accelerator programs, mentorship programs, university-affiliated entrepreneurship programs, economic development initiatives, and corporate innovation programs.
"Organization" means any structured entity or program that accesses the MYCOBI Platform on behalf of a group of founders, investors, or advisors. Organizations include, but are not limited to: investor groups, family offices, venture funds, angel networks, business plan competitions, incubators, accelerators, university entrepreneurship programs, economic development agencies, entrepreneur conferences, financial institutions, non-profits, accounting firms, law firms, and other advisory or service-provider entities.
"Registered User" shall mean any user or person who interacts with the MYCOBI Content or User Content via the MYCOBI Platform.
"MYCOBI Insider Program" or "Insider Program" means the voluntary early-access program operated by MYCOBI through which eligible Registered Users receive access to Insider Features prior to their general availability on the Platform, subject to the additional terms set forth in §42 of these Terms of Service.
"Insider Features" means any pre-release feature, tool, functionality, integration, or service made available to Registered Users through the MYCOBI Insider Program that has not yet been released for general availability. Insider Features are experimental beta software and are subject to the disclosures and limitations set forth in §42.
MYCOBI is an AI-powered platform that empowers founders, investors, advisors, and organizations to build fundable, scalable, and durable ventures through intelligent assessments, structured methodologies, and data-driven decision making. Advisors on the MYCOBI Platform include independent consultants, mentors, fractional executives, incubator and accelerator program staff, university-affiliated program administrators, and other service providers engaged in supporting founders and companies. The MYCOBI Platform refers to the tools and services offered to Registered Users of MYCOBI, including its wholly-owned subsidiaries and affiliates. This includes any and all of the Content thereon and services provided by MYCOBI on or in conjunction with websites wholly owned by MYCOBI, including but not limited to, application program interfaces ("APIs"), storage, email, professional services, and collaboration services. Such tools and services include, but are not limited to, the offerings on the following websites:
MYCOBI Marketing & Account Hub (mycobi.com): The primary public-facing website for MYCOBI, providing product information, account signup, and access to the MYCOBI platform ecosystem.
MYCOBI Platform (app.mycobi.com): The main application environment providing role-specific experiences for founders, investors, and advisors, including access to all assessment tools, portfolio monitoring, due diligence preparation, the Virtual Data Room, and ecosystem collaboration features.
MYCOBI Investment Readiness (ird.mycobi.com): An AI-powered diagnostic tool delivering a personalized Investment Readiness Score with detailed analysis across financial health, market position, operational maturity, governance, and traction dimensions, plus an actionable development roadmap. All outputs are part of the MYCOBI Insider Program and are experimental.
MYCOBI Technical Readiness Assessment (tra.mycobi.com): A standards-compliant technology maturity assessment tool built on the established NASA/DoD TRL (1–9) framework, enabling founders to document and assess technology development stage and enabling investors and advisors to evaluate technology risk and readiness. All outputs are part of the MYCOBI Insider Program and are experimental.
MYCOBI Business Readiness Assessment (bra.mycobi.com): An assessment tool evaluating a company’s overall business maturity and operational readiness, providing structured analysis of execution capability, team readiness, process maturity, and commercial viability. All outputs are part of the MYCOBI Insider Program and are experimental.
ContinuityWatch: A portfolio intelligence service for investors and advisors providing system-generated, data-validated updates on companies in their pipeline or portfolio, with AI-powered re-engagement alerts and interaction history tracking.
Advisor Platform: A dedicated environment for advisors — including incubator and accelerator program staff, mentors, fractional executives, university-affiliated program administrators, and independent consultants — to systematically manage portfolio companies, measure program effectiveness, and demonstrate ROI to sponsors and stakeholders.
MYCOBI does not review or verify any User content and does not and cannot guarantee that any User content is accurate or complete. In order to use the MYCOBI Platform, you must use one of the supported Internet browsers. Additionally, you are required to register your User information with MYCOBI. MYCOBI does not provide internet access, and you are responsible for all fees associated with your internet connection.
Entrepreneurs: If you are an entrepreneur User, you may upload information about your business, including information you consider confidential and designate as confidential, and you may designate which Investors or Organizations may see that information. Notwithstanding the foregoing, in the event you begin an application to an accelerator application on the MYCOBI Platform, you hereby expressly grant to MYCOBI a license to share your name, email address and application status (collectively "Basic Application Information") with such accelerator at any point in your application process, regardless of designation unless you expressly opt out. Basic Application Information will not be considered confidential information with respect to MYCOBI's disclosures to such accelerators unless you opt out. For the avoidance of doubt, the actual contents of your application will only be disclosed to accelerators upon submission of your final application. Please be aware that MYCOBI has no control over the actions of Investors or Organizations. Also, though we take all reasonable steps in accordance with industry standards to prevent it, we cannot guarantee that the MYCOBI Platform will never suffer from a software bug or a hacker attack that will allow unauthorized viewing of confidential material, or that any Investor is actually accredited.
Investors: If you are classified by MYCOBI as an Investor User, whether or not Accredited, you may have access to an entrepreneur's confidential information either directly or through an Organization, and should use your discretion in how you handle that information. All Organizations will be overseen by an Administrator, who will determine membership and set rules and parameters as provided on the MYCOBI Platform for that Organization.
Advisors: If you are registered as an Advisor User, you may access founder and company information that has been expressly shared with you in your advisory capacity. This includes data shared through Advisory Programs, mentorship engagements, incubator or accelerator cohort participation, university program affiliations, or individual advisory relationships initiated on the MYCOBI Platform. You agree to use any information accessed through the MYCOBI Platform solely in furtherance of your advisory role and not for any competing, commercial, or unauthorized purpose. Advisors operating as part of an Organization will be subject to the rules and parameters set by that Organization's Administrator.
General Users: Certain portions of the MYCOBI Platform will be visible to Users who have not registered as entrepreneurs, Organizations, Advisors, or Accredited Investors. Those Users, nevertheless, are bound by these Terms of Service. Entrepreneurs should be aware that information they provide that is not designated as confidential will be visible to all Users. See User Content discussion in User Submissions Section below.
MYCOBI shall have no obligation to participate or assist in any way in the event of any dispute between Users.
Notwithstanding the above or anything to the contrary set forth in the Terms of Service, MYCOBI shall have the absolute and unlimited rights to reject any User, to terminate the account of any User, to delete any User Content, or to publish any User Content that is not confidential, including for the purposes of marketing MYCOBI and/or the MYCOBI Platform.
Subject to the terms of these Terms of Service, which constitute the agreement between MYCOBI and you, the User, MYCOBI grants to you a non-exclusive, revocable, non-transferable license to use the MYCOBI Platform. All right, title, and interest in and to the MYCOBI Platform (excluding User Content) is and will remain the exclusive property of MYCOBI and/or its licensors. ``
MYCOBI enables Users to start self-accreditation, but MYCOBI does not certify or verify the self-accreditation of any of its Users. All Users of the MYCOBI Platform are advised that MYCOBI does not take any steps to verify the information provided to us by the Accredited Investor, and does not and cannot guarantee that any investor actually qualifies as an Accredited Investor. Each User is solely responsible for conducting diligence on any Accredited Investor with whom that User interacts on the MYCOBI Platform. Further, some of MYCOBI's Users may be located outside of the United States. MYCOBI does not verify the compliance of any such Users with the applicable securities laws in their home jurisdiction and relies solely on their self-certification that they are in compliance with applicable laws.
Federal securities laws require that securities sold in the United States be registered with the Securities and Exchange Commission unless there is an exemption available under applicable law. "Securities" is a very broadly defined term under the United States securities law and will include most of the types of investment opportunities that are offered by early and growth stage ventures including, without limitation, promissory notes, convertible promissory notes, options, warrants, capital stock and other financial contracts that offer third parties a participation in profit-sharing or the potential growth of a business. The securities laws applicable to such private placements of securities are complicated and are currently in a state of flux due to certain changes adopted as part of the JumpStart Our Business Start-up Act of 2012 as to which rulemaking and implementation of the act by the Securities and Exchange Commission and the Financial Industry Regulatory Authority is ongoing. Such transactions are subject to both federal and state law and depending on the company involved and the location of the investors, may also be subject to foreign laws. To comply with certain provisions of applicable law necessary to qualify for exemptions from registration in the United States, there are limitations on the use of general solicitation or advertising. MYCOBI is not responsible for determining and makes no representation as to whether any use of the MYCOBI Platform constitutes general solicitation or advertising under applicable law.
By using the MYCOBI Platform you understand and agree that you will be solely responsible for complying with all applicable law regarding any transaction in which you may engage, including without limitation the determination of whether any investor is an Accredited Investor and whether any investment complies with the terms of any United States law (or any law of any US state or foreign jurisdiction) or meets the criteria for any exemption from registration and/or disclosure available thereunder.
MYCOBI does not recommend any investments, does not verify or review User documents or communications, and does not give business advice, financial advice, investment advice, tax advice or legal advice. MYCOBI does not claim to be and is not registered as a broker-dealer and investment advisor. Nothing on this MYCOBI Platform is intended to be or shall constitute or be construed as a sale or purchase or offer to sell or purchase or a recommendation of any securities.
Payment Processor. All payment card processing for MYCOBI subscriptions and paid services is handled exclusively by Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. Your financial information is transmitted directly to and processed by Stripe; MYCOBI does not receive, store, or process your full payment card numbers, CVV codes, or bank account credentials. Stripe's processing of your payment information is governed by Stripe's terms and privacy policy, not by these Terms of Service.
No Storage of Payment Data. MYCOBI does not store or transmit raw payment card or bank account credentials. All such data is handled exclusively within Stripe's PCI-DSS Level 1 certified infrastructure. MYCOBI stores only a non-sensitive payment token provided by Stripe that references your payment method.
Authorization. By initiating a purchase or subscription, you authorize MYCOBI to instruct Stripe to charge the payment method you have provided for all applicable fees. You represent and warrant that you have the legal right to use any payment method you submit.
Subscriptions and Auto-Renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. For annual subscriptions, MYCOBI will provide at least fourteen (14) days' advance notice before processing your annual renewal charge. By maintaining an active subscription, you authorize MYCOBI to instruct Stripe to charge the applicable renewal amount to your payment method on file.
Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current paid billing period; you will retain access to paid features through the end of that period. MYCOBI does not provide refunds or credits for partial subscription periods, unused features, or subscription downgrades.
Failed Payments. If Stripe is unable to process a renewal charge, MYCOBI will retry the charge up to three (3) times over a seven (7) day period. If payment cannot be collected after retries, your account may be downgraded to a free tier or suspended until payment is received. You are responsible for keeping your payment method current and valid.
Chargebacks and Disputes. If you believe a charge is incorrect, please contact support@mycobi.com before initiating a chargeback with your card issuer. MYCOBI reserves the right to contest chargebacks it determines are not warranted and to terminate the account of any User who initiates a fraudulent or improper chargeback.
Price Changes. MYCOBI reserves the right to change subscription pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing period following at least thirty (30) days' advance notice via email to the address on your account. If you do not cancel before the price change takes effect, your continued use of the subscription constitutes acceptance of the new pricing.
Taxes. All fees are stated in U.S. dollars and are exclusive of applicable taxes, levies, or duties. You are responsible for paying all applicable taxes associated with your purchase.
Order Acceptance. All purchases are subject to MYCOBI's acceptance. MYCOBI reserves the right to decline any order for any reason without liability. If your payment method has already been charged for an order that is subsequently declined, MYCOBI will issue a refund.
Free Tier. Certain features of the MYCOBI Platform are provided at no charge. Free-tier availability, features, and usage limits are subject to change at any time without notice. ``
We and/or our licensors and suppliers own the information and materials made available through MYCOBI, excluding User Content. Such information and materials are protected by copyright, trademark, patent and/or other proprietary rights and laws. Subject to your compliance with this Agreement, and solely for so long as you are permitted by us to access and use MYCOBI, you may access, view and print a single copy of any content on MYCOBI to which we provide you access hereunder, solely for your personal, internal business and non-commercial purposes, provided that you keep intact all copyright and other proprietary notices. Other than exercising rights you may have to documents provided to you by another user through the Services, or except as expressly authorized in advance by us in writing, you agree not to reproduce, modify, rent, lease, loan, sell, distribute, or create derivative works based on all or any part of MYCOBI or any information or materials made available through MYCOBI.
Our trade names, trademarks and service marks include, without limitation, MYCOBI and any affiliated or associated logos. All trademarks and service marks on MYCOBI not owned by us are the property of their respective owners. You may not use our trade names, trademarks or service marks in connection with any product or service that is not ours, in any manner that is likely to cause confusion. Nothing contained on MYCOBI should be construed as granting any license or right to use any trade names, trademarks or service marks without the express prior written consent of the owner.
In order to access and use most of the MYCOBI Platform, you must register for an account. If you are under the age of 18, please do not sign up for an account. Additionally, if you wish to use the MYCOBI platform as an investor, you must be an Accredited Investor and so represent to MYCOBI. Organizations may also register and will be overseen by the Organization Administrator.
In order to best serve our Users, and to comply with applicable laws, MYCOBI has a limited number of rules which govern how you may behave while interacting with the MYCOBI Platform and other Users. Please review the rules below carefully, since your violation of them may result in the termination of your access to the MYCOBI Platform in MYCOBI's sole discretion at any time and without prior notice.
While it is our goal at MYCOBI to provide you with a useful, stable and available service, we cannot guarantee that there will be no unforeseen difficulties, technical or otherwise, which may, in rare cases, result in service interruptions or loss of data. For this reason, the MYCOBI Platform and all Content and services on it are provided strictly on an 'as is' basis. By accepting these Terms of Service, you agree that neither MYCOBI nor any of its third party service providers will be held accountable for any delays in transmission of your data, data loss, service interruptions or retention of User settings. MYCOBI reserves the right to change or discontinue, either temporarily or permanently, any part of the MYCOBI Platform or any or all of its services at any time and without prior notice. You agree that neither MYCOBI nor any of its third party service providers will be liable for any damages, including lost business opportunities, should such discontinuance occur.
We ask that any registration data you provide to MYCOBI is true, current and complete. In the event any of this information changes, please update it on your personal profile page. For details on how you can access your stored data, please refer to MYCOBI's Privacy Policy.
Where you connect third-party data sources (bank accounts, accounting software, CRM platforms, or other integrations), you represent that the data accessible through those connections is your own and that you have authority to connect those accounts to the MYCOBI Platform. MYCOBI displays that data as received from the third-party source and bears no responsibility for its accuracy, completeness, or currency. See §32 for full terms governing third-party data integrations.
During your registration you will set your account access login and password. You are responsible for maintaining the confidentiality of this information and are responsible for any and all activities and postings that are made using your account.
Please notify MYCOBI immediately if you suspect that an unauthorized person has accessed your account. Should you misplace or forget your password, please click on the forgot password link. If you continue to have problems, please contact our technical support staff at support@mycobi.com.
You agree to use the MYCOBI Platform only as provided for in these Terms of Service. You also agree not to use the MYCOBI Platform in any way that is in conflict with the law in your jurisdiction. Further, you may not use the MYCOBI Platform for the transmission of any information that is obscene, libelous, harassing, abusive, threatening, invasive of a User's privacy, or in violation of any other individual's intellectual property rights.
Please use the email features of the MYCOBI Platform responsibly. You may not use the MYCOBI Platform to send unsolicited commercial email ('spam') or unsolicited mass distribution of files. In order to enforce this provision, MYCOBI may establish additional policies regarding the use of email features, including, but not limited to, maximum retention times of messages, maximum number of messages sent per day, or a maximum size of a message.
You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc., that access the MYCOBI Platform in a manner that sends more request messages to MYCOBI's servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, MYCOBI grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. MYCOBI reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the MYCOBI Platform, nor to use the communication systems provided by the MYCOBI Platform for any commercial solicitation purposes.
If you receive any email through the MYCOBI Platform that you believe is not in compliance with the above provision, please notify us by forwarding the email, along with an explanatory note, to support@mycobi.com.
MYCOBI is committed to protecting the privacy of its Users and has developed a detailed Privacy Policy that describes our practices and procedures regarding your data. The Privacy Policy is available at https://www.mycobi.com/privacy-policy, and is incorporated herein by reference. Please review the Privacy Policy before accepting this Agreement.
By registering with or using MYCOBI, you consent to the collection and use of your personal information and the transfer of this information to the United States or other countries for processing and storage by MYCOBI.
A User may elect to make certain confidential, personal or private information viewable through the MYCOBI Platform. You may not disclose information obtained in this manner to any third parties without first obtaining permission from that User. You agree not to collect or aggregate User information accessible through the MYCOBI Platform for commercial use or redistribution, including the targeted marketing of non-MYCOBI services to individual Users. MYCOBI reserves the right to immediately terminate, without notice, the account of any User found to have violated this rule in the sole and absolute discretion of MYCOBI.
The MYCOBI Platform provides entrepreneur Users the option to publish a subset of the data to non-registered Users in order to promote their presence on the MYCOBI Platform, and to facilitate inviting the non-registered Users to join the MYCOBI Platform to enable private collaboration. This includes basic information such as company name, location and one-line pitch, among other data. It also includes their company overview, pitch video and profiles for members of their team.
The MYCOBI Platform also provides administrators of Organizations the option to publish a subset of the data to non-registered Users in order to promote their presence on the MYCOBI Platform, and to facilitate inviting the non-registered Users to join the MYCOBI Platform to enable private collaboration. This includes a profile to market themselves to entrepreneurs, which includes basic information such as the Organization's name, location, investment preferences and portfolio companies.
All of the data for each respective User is exclusively entered and maintained by the user. Each User may (but does not have to) opt-in to publishing this information and always has the power to remove it from the public domain by un-publishing it. All other data entered on MYCOBI is shared with other Users on the MYCOBI Platform exclusively by the User's affirmative action; this data is, and always will, remain privately available only to those Users. MYCOBI will never use this information in a personally identifiable way.
Privacy Rights (CCPA / GDPR). Depending on your jurisdiction, you may have rights with respect to your personal data, including the right to access, correct, delete, or port your data, the right to restrict or object to certain processing, and in California, the right to know what personal information is collected and the right to opt out of the sale of personal information. MYCOBI does not sell personal information. To exercise any of these rights, please refer to our Privacy Policy or contact us at support@mycobi.com. We will respond to verifiable requests within the timeframe required by applicable law.
Data Breach Notification. In the event of a security incident that results in unauthorized access to or disclosure of your personal data, MYCOBI will notify affected Users as required by applicable law. Where required (including under GDPR), MYCOBI will endeavor to notify relevant supervisory authorities within 72 hours of becoming aware of a material breach and will notify affected Users without undue delay. Notifications will be made via the email address associated with your account.
In general, as a condition to your continued use of the MYCOBI Platform, you agree that you will not use the MYCOBI Platform for any purpose that is unlawful or prohibited by these Terms of Service. In the access or use of the MYCOBI Platform, you shall comply with these Terms of Service and the special warnings or instructions for access or use posted on the MYCOBI Platform. You shall act always in accordance with the law, custom and in good faith. You may not make any change or alteration to the MYCOBI Platform or any MYCOBI Content or services that may appear on the MYCOBI Platform and you may not impair in any way the integrity or operation of the MYCOBI Platform. Without limiting the generality of any other provision of these Terms of Service, if you default negligently or willfully in any of the obligations set forth in these Terms of Service, you shall be liable for all the losses and damages that this may cause to MYCOBI, our affiliates, partners or licensors.

We do not accept unsolicited suggestions and/or ideas. All inquiries, feedback, suggestions, ideas or other information any User provides to MYCOBI concerning the MYCOBI Platform (collectively, "Submissions") will be treated as non-proprietary and non-confidential. By transmitting or posting any Submission, the User hereby grants MYCOBI full ownership of the Submission as if MYCOBI had created, developed and posted the Submission for its own purposes. Please note this is different from User Content, which is addressed below.
MYCOBI reserves the right to copy, use, reproduce, modify, adapt, translate, publish, license, distribute, sell or assign the Submission in any way as it sees fit, including but not limited to copying in whole or in part, creating derivative works from, distributing and displaying any Submission in any form, media, or technology, whether now known or hereafter developed, alone or as part of other works, or using the Submission within or in connection with MYCOBI's products or services. User also acknowledges that User Submissions will not be returned and MYCOBI may use Submissions, and any ideas, concepts or know how contained therein, without payment of money or any other form of consideration, for any purpose including, without limitation, developing, manufacturing, distributing and marketing products. For clarification, deal documents and emails or other communications between Users are not considered Submissions; MYCOBI claims no right, title or interest in such documents or communications.
If a User makes a Submission, the User represents and warrants that the User owns or otherwise controls the rights to the Submission. User further represents and warrants that such Submission does not constitute or contain software viruses, commercial solicitation, chain letters, mass mailings, or any form of "spam." Users may not use a false email address, impersonate any person or entity, or otherwise mislead MYCOBI as to the origin of any Submission. The User agrees to indemnify MYCOBI for all claims arising from or in connection with any claims to any rights in any Submission or any damages arising from any Submission.
The MYCOBI Platform permits the submission of content or communications submitted by Users ("User Content") and the hosting, sharing, and/or publishing of such User Content.
MYCOBI does not and will not claim any ownership over or rights to User Content other than a license to display it on the MYCOBI Platform as directed by the User, but User understands that whether or not such User Content is published, though MYCOBI will seek to maintain the confidentiality of any data designated as confidential by a User, MYCOBI does not guarantee any confidentiality with respect to any User Content.
User shall be solely responsible for User's own User Content and the consequences of posting or publishing them. In connection with User Content, User affirms, represents, and/or warrants that: (i) User owns or has the necessary licenses, rights, consents, and permissions to use and authorize MYCOBI to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Content to enable inclusion and use of the User Content in the manner contemplated by the MYCOBI Platform and these Terms of Service; and (ii) User has the written consent, release, and/or permission of each and every identifiable individual person in the User Content to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Content in the manner contemplated by the MYCOBI Platform and these Terms of Service.
By submitting the User Content to the MYCOBI Platform, User hereby grants MYCOBI a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the MYCOBI Platform and MYCOBI's (and its successor's) business, including without limitation for promoting and redistributing part or all of the MYCOBI Platform (and derivative works thereof) in any media formats and through any media channels. In the event it does so, MYCOBI will seek to maintain the confidentiality of User Content consistent with the User's designation, but once again cannot guarantee any such confidentiality. User also grants each User of the MYCOBI Platform a non-exclusive license to access the User Content of that User through the MYCOBI Platform, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Content as permitted through the functionality of the MYCOBI Platform and under these Terms of Service. The foregoing license granted by User terminates once User or MYCOBI removes or deletes any User Content from the MYCOBI Platform.
User agrees that User will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless User is the owner of such rights or have permission from their rightful owner to post the material and to grant MYCOBI all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage MYCOBI or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business; (v) impersonate another person.
MYCOBI does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and expressly disclaims any and all liability in connection with User Content. MYCOBI does not knowingly permit infringement of intellectual property rights on its MYCOBI Platform, and will remove all User Content if properly notified that such User Content infringes on another's intellectual property rights. MYCOBI reserves the right to remove User Content without prior notice. MYCOBI will also terminate a User's access to its MYCOBI Platform, if a User is determined to be a repeat infringer. MYCOBI also reserves the right to decide whether User Content is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. MYCOBI may remove such User Content and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.
If you are a copyright owner or an agent thereof and believe that any User Content or other Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing:

Only DMCA notices should go to the Copyright Agent. `` Notices and counter-notices must meet the then-current statutory requirements imposed by the DMCA. MYCOBI suggests that you consult your legal advisor before filing a notice. Please be aware that there are penalties for false claims under the DMCA. Any other feedback, comments, requests for technical support, and other communications should be directed to Company customer service through support@mycobi.com. You acknowledge that if you fail to comply with all of the requirements of this Section, your DMCA notice may not be valid.
You understand that when using the MYCOBI Platform, you may be exposed to User Content from a variety of sources, and that MYCOBI is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Content. You further understand and acknowledge that you may be exposed to User Content that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against MYCOBI with respect thereto, and agree to indemnify and hold MYCOBI, its owners/operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the MYCOBI Platform.
All information and Content available on the MYCOBI Platform and its "look and feel", except all User Content (as defined herein), including but not limited to trademarks, logos, service marks, copyrighted works, text, graphics, logos, button icons, images, audio/video clips, data compilations and software, and the compilation and organization thereof is the property of MYCOBI, its affiliates, partners or licensors, or is used with consent of the owner, and is protected by United States and international laws, including laws governing copyrights and trademarks. The reproduction and use of any of these by you is prohibited unless specific permission is provided on the MYCOBI Platform or otherwise. Any unauthorized use may violate copyright laws, trademark laws, privacy and publicity laws, and/or communications regulations and statutes of the United States and foreign laws and international conventions.
The trademarks, service marks, logos, and other indicia, including of MYCOBI (collectively the "Trademarks") which appear on the MYCOBI Platform are registered and/or unregistered trademarks of MYCOBI and others. Nothing contained on the MYCOBI Platform should be construed as granting, by implication or otherwise, any right, license or title to any of the Trademarks without the advance written permission of MYCOBI or such third party as may be appropriate. All rights are expressly reserved and retained by MYCOBI. Your misuse of any of the Trademarks displayed on the MYCOBI Platform, or any other Content on the MYCOBI Platform, except as provided in these Terms of Service, is strictly prohibited. You are also advised that MYCOBI considers its intellectual property to be among its most valuable assets, and will enforce its intellectual property rights to the fullest extent of the law.
Both the MYCOBI Platform and the Content of the MYCOBI Platform are provided "AS IS" for Users' information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. MYCOBI reserves all rights not expressly granted in and to the MYCOBI Platform and the Content. User agrees to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User submissions of third parties obtained through the MYCOBI Platform for any commercial purposes. If User downloads or prints Content for personal use, User must retain all copyright and other proprietary notices contained therein. User agrees not to circumvent, disable or otherwise interfere with security related features of the MYCOBI Platform or features that prevent or restrict use or copying of any Content or enforce limitations on use of the MYCOBI Platform or the Content thereon. MYCOBI does not make any representations or warranties, whether express or implied, regarding or relating to the MYCOBI Platform or any associated hardware or software, including the Content or operations of either.
NONE OF MYCOBI, ITS AFFILIATES, THEIR RESPECTIVE MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE "MYCOBI PARTIES") MAKES ANY WARRANTIES OR REPRESENTATIONS ABOUT THE MYCOBI PLATFORM OR ITS CONTENTS, INCLUDING BUT NOT LIMITED TO THEIR ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS. NONE OF THE MYCOBI PARTIES SHALL BE SUBJECT TO LIABILITY FOR TRUTH, ACCURACY, OR COMPLETENESS OF ANY INFORMATION MADE AVAILABLE ON OR THROUGH THE MYCOBI PLATFORM OR FOR ERRORS, MISTAKES OR OMISSIONS THEREIN OR FOR ANY DELAYS OR INTERRUPTIONS OF THE DATA OR INFORMATION STREAM FROM WHATEVER CAUSE. YOU AGREE THAT YOU USE THE MYCOBI PLATFORM SOLELY AT YOUR OWN RISK. ``
MYCOBI PROVIDES THIS MYCOBI PLATFORM AS AN AI-POWERED RESOURCE FOR FOUNDERS, INVESTORS, AND ORGANIZATIONS INVOLVED IN BUILDING, EVALUATING, AND SCALING EARLY-STAGE AND GROWTH-STAGE VENTURES. MYCOBI DOES NOT GIVE BUSINESS ADVICE, INVESTMENT ADVICE, TAX ADVICE OR LEGAL ADVICE TO ANYONE USING THE MYCOBI PLATFORM. MYCOBI DOES NOT CLAIM TO BE AND IS NOT A BROKER, DEALER OR INVESTMENT ADVISOR AND NOTHING HEREIN SHALL CONSTITUTE A SALE OR OFFER TO BUY OR SELL OR RECOMMEND ANY SECURITIES. MYCOBI DOES NOT MAKE INVESTMENTS. EACH USER OF THE MYCOBI PLATFORM MAKES HIS OR HER OWN INVESTMENT DECISIONS BASED UPON HIS OR HER PERSONAL DUE DILIGENCE INVESTIGATION AND OTHER PERSONAL INVESTMENT CRITERIA. `` MYCOBI IS NOT RESPONSIBLE FOR AND SHALL HAVE NO LIABILITY WITH RESPECT TO THE ACTIONS OR OMISSIONS OF ANYONE USING THE MYCOBI PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY MYCOBI PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF A MYCOBI PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE MYCOBI PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE MYCOBI PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO MYCOBI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). THE PARTIES ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN MYCOBI AND YOU. NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS LIMITS MYCOBI'S LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY MYCOBI'S GROSS NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION BY MYCOBI; OR (III) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW. ``
At MYCOBI's request, User agrees to defend, indemnify and hold harmless MYCOBI, its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, licensees, distributors and content providers from all damages, liabilities, claims and expenses, including without limitation attorneys' fees and costs, arising from or related, directly or indirectly, to any misuse of the MYCOBI Platform or breach of this Agreement by User.
MYCOBI reserves the right to suspend or terminate these Terms of Service and/or any User's access to the MYCOBI Platform at any time and without notice in its sole discretion.
These Terms of Service, together with the Privacy Notice and any other legal notices published by MYCOBI on the MYCOBI Platform, shall constitute the entire agreement between you and MYCOBI concerning the MYCOBI Platform. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and MYCOBI's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. ``
Florida Consumer Protection Savings Clause. MYCOBI is incorporated in the State of Florida. To the extent any User qualifies as a "consumer" under the Florida Deceptive and Unfair Trade Practices Act, Fla. Stat. §501.201 et seq. ("FDUTPA"), nothing in these Terms of Service is intended to, and shall not be construed to, waive, limit, or disclaim any right or remedy that cannot be waived, limited, or disclaimed by contract under applicable Florida law. If any provision of these Terms of Service — including without limitation the limitation of liability in §21 or the no-refund policy in §7 — is found by a court of competent jurisdiction to be unenforceable as applied to a particular User under FDUTPA or any other mandatory consumer protection law, such provision shall be modified to the minimum extent necessary to render it enforceable as so applied, and if modification is not possible, such provision shall be severed solely as applied to that User, without affecting the enforceability of any other provision of these Terms of Service as to any other User or in any other context. ``
You agree that: (i) the MYCOBI Platform shall be deemed solely based in Pasco County, Florida; and (ii) the MYCOBI Platform shall be deemed a passive website that does not give rise to personal jurisdiction over MYCOBI, either specific or general, in jurisdictions other than Florida. These Terms of Service shall be governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles. All disputes arising out of or relating to this Agreement shall be finally resolved by arbitration conducted in Pasco County, Florida under the rules of commercial arbitration of the American Arbitration Association. Both parties shall bear equally the cost of arbitration (exclusive of legal fees and expenses). All decisions of the arbitrator(s) shall be final and binding on both parties and enforceable in any court of competent jurisdiction.
MYCOBI may change these Terms of Service at any time and in its sole discretion. The modified Terms of Service will be effective immediately upon posting and you agree to the new posted Terms of Service by continuing your use of the MYCOBI Platform. MYCOBI will provide at least 10 days' notice before any material changes take effect. If you do not agree with the modified Terms of Service, your only remedy is to discontinue using the MYCOBI Platform. Notwithstanding the foregoing, any changes to this Agreement shall not apply to any dispute between you and us arising prior to the date of such posting or other notification. We may, at any time, temporarily or permanently modify or discontinue all or part of MYCOBI, with or without notice and/or offer opportunities to some or all users of MYCOBI. You agree that the MYCOBI Platform shall not be liable to you or to any third party for any modification, suspension or discontinuance of MYCOBI, in whole or in part, or of any Service, content, feature or product offered through MYCOBI. You agree that we may, at any time, charge fees in connection with the use of all or part of MYCOBI and/or for certain features of the Services and that you will be responsible for all such charges (including any applicable tax). You will be notified in advance of any such charges.
USER ACKNOWLEDGES THAT USER HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. USER FURTHER AGREES THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN USER AND MYCOBI WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, WRITTEN OR ORAL, AND ANY OTHER COMMUNICATION BETWEEN USER AND MYCOBI RELATING TO THE SUBJECT MATTER OF THIS TERMS OF SERVICE.

All Assessment Scores, diagnostics, reports, readiness levels, roadmaps, recommendations, and related outputs generated by the MYCOBI Platform — including but not limited to Investment Readiness Diagnostic (IRD) scores, Technology Readiness Assessment (TRA/TRL) scores, Business Readiness Level (BRL) ratings, and any AI-generated strategic guidance — are produced by automated systems including artificial intelligence and machine learning models. These outputs are provided for informational purposes only and do not constitute professional financial, legal, accounting, investment, or advisory advice of any kind.
MYCOBI makes no representations or warranties as to the accuracy, completeness, reliability, or fitness for any particular purpose of any Assessment Score or AI-generated output. Scores and assessments reflect a point-in-time analysis based on information provided by the User and data available to the Platform at the time of generation. They do not predict, guarantee, or assure any outcome, including but not limited to the ability to raise capital, the likelihood of investment, program acceptance, or business success.
Artificial intelligence and machine learning systems, including those used by MYCOBI, may produce outputs that are inaccurate, incomplete, outdated, or internally inconsistent — a phenomenon commonly referred to as "hallucination." MYCOBI expressly disclaims any liability for damages arising from reliance on AI-generated outputs. You should independently verify any AI-generated information before using it for any business, financial, legal, or investment purpose.
MYCOBI does not facilitate, broker, arrange, or guarantee any investment, loan, grant, or other funding transaction. All Platform outputs — including Assessment Scores, readiness reports, and advisor or investor recommendations made through the Platform — are provided for informational purposes only.
MYCOBI expressly disclaims any responsibility for funding or investment decisions made by founders, investors, advisors, or any third party based on information obtained through the Platform. Use of the MYCOBI Platform does not create a fiduciary, investment advisory, brokerage, or agency relationship between MYCOBI and any User. The metrics, statistics, and outcome claims displayed on MYCOBI Platform Properties (including references to average score improvements, fundraising timelines, and program effectiveness rates) are illustrative benchmarks drawn from available data and are not guarantees of any individual result.
THE MYCOBI PLATFORM, INCLUDING ALL PLATFORM PROPERTIES, IS AN EXPERIMENTAL SERVICE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BY USING ANY PLATFORM PROPERTY, YOU ACKNOWLEDGE THAT IT IS IN ACTIVE DEVELOPMENT, THAT FEATURES AND ASSESSMENT METHODOLOGIES MAY CHANGE, BE REMOVED, OR PRODUCE DIFFERENT RESULTS WITHOUT NOTICE, AND THAT YOU USE THE PLATFORM ENTIRELY AT YOUR OWN RISK.
Platform Properties that are part of the MYCOBI Insider Program (including app.mycobi.com, ird.mycobi.com, tra.mycobi.com, and bra.mycobi.com) are early-access versions undergoing active development and user validation. This includes any other subdomain of mycobi.com, whether labeled beta, UAT, staging, preview, or otherwise — all such environments are Insider Program properties subject to the same experimental platform terms. All features on these properties may contain errors, produce inaccurate outputs, or be discontinued at any time. MYCOBI makes no warranty that any Insider Program Platform Property will meet your requirements, operate without interruption, or produce results suitable for any business purpose.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYCOBI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF ANY BETA OR UAT PLATFORM PROPERTY SHALL NOT EXCEED ONE THOUSAND U.S. DOLLARS ($1,000.00), REGARDLESS OF THE THEORY OF LIABILITY. THIS BETA LIABILITY CAP APPLIES IN ADDITION TO, AND DOES NOT EXPAND, THE AGGREGATE LIABILITY CAP SET FORTH IN §21.
This experimental platform acknowledgement is a material term of these Terms of Service. By creating an account or using any Platform Property, you affirmatively acknowledge the experimental nature of the Platform.
Third-Party Services. The MYCOBI Platform integrates with third-party data providers and software services, including but not limited to: Plaid, Inc. (bank account connectivity), Rutter Technologies, Inc. and Codat (accounting and commerce data), QuickBooks, Xero, Stripe, Salesforce, HubSpot, Slack, Google Workspace, and other integration partners (collectively, "Third-Party Services"). Your connection to and use of any Third-Party Service is at your sole risk. MYCOBI does not approve, endorse, or recommend any Third-Party Service. Each Third-Party Service is subject to its own terms of service and privacy policy, and by connecting your accounts you agree to be bound by those terms.
User Authority and Consents. By connecting a Third-Party Service to the MYCOBI Platform, you represent and warrant that: (a) you own or have full legal authority to connect the accounts and data sources you link; (b) you have obtained all necessary rights, consents, and authorizations from any applicable individuals or third parties sufficient to authorize MYCOBI and its sub-processors to access, retrieve, and process that data; and (c) your connection and use of that Third-Party Service does not violate any agreement between you and the Third-Party Service provider.
No Accuracy Warranty on Third-Party Data. MYCOBI does not independently verify, check, or validate the accuracy or completeness of data retrieved from any Third-Party Service. MYCOBI relies entirely on the Third-Party Service to ensure that the data it provides is accurate, current, and complete. Data displayed in the MYCOBI Platform from a Third-Party Service reflects the state of that system at the time of the most recent synchronization only — it is not a real-time view and may not reflect subsequent changes, corrections, or reversals at the source institution.
No Liability for Third-Party Data. MYCOBI is not responsible for the accuracy, completeness, availability, or security of data obtained through Third-Party Services and disclaims all liability arising from: (a) errors, omissions, or inaccuracies in Third-Party Service data; (b) data latency, staleness, or failure to synchronize; (c) interruption, degradation, or discontinuation of a Third-Party Service; (d) unauthorized access to data occurring within a Third-Party Service's systems; or (e) any Third-Party Service provider's non-compliance with applicable law.
AI Assessment Contamination. Where third-party financial data feeds MYCOBI's AI-driven assessments (including the IRD scoring engine and TRA tool), the quality of any assessment output is dependent on the quality and accuracy of the underlying input data. MYCOBI is not liable for any assessment result, score, recommendation, or output that is inaccurate, misleading, or unsuitable due to erroneous, incomplete, or stale data received from a Third-Party Service.
No Duty to Monitor. MYCOBI has no obligation to monitor the health, availability, or accuracy of any Third-Party Service connection. If a connection is interrupted, data is unavailable, or a synchronization error occurs, MYCOBI may notify you through platform alerts but is under no duty to do so.
Validated Data Badge. Data displayed with a "Validated" badge or source label (e.g., "From QuickBooks," "From Plaid") reflects that the data was sourced directly from the named third-party system at the time of the last synchronization. The badge indicates the data's origin — it does not constitute MYCOBI's independent verification of the accuracy or completeness of that data.
The MYCOBI Virtual Data Room (VDR) permits founders to store and share confidential business documents with designated investors, advisors, or other authorized parties. You are solely responsible for: (a) determining which parties to grant access to; (b) the content of documents you upload; and (c) any consequences arising from sharing confidential materials through the VDR.
MYCOBI does not review, verify, or endorse the contents of any documents shared through the VDR. Access permissions are controlled by the founder User. MYCOBI maintains audit logs of access activity but does not guarantee the security of documents against unauthorized disclosure in the event of a security incident. MYCOBI's obligations regarding VDR data are limited to those set forth in the Privacy Policy.
Upon account termination or cancellation, access permissions granted to third parties through the VDR will be revoked. MYCOBI will retain VDR documents for 90 days following account termination, after which documents will be deleted. Users are responsible for exporting any documents they wish to retain prior to account termination.
Incubators, accelerators, universities, economic development agencies, and other Organizations operating Advisory Programs on the MYCOBI Platform agree to these Terms of Service on behalf of themselves and, where applicable, as program administrators acting on behalf of their program participants.
Institutional Users who administer Advisory Programs are responsible for: (a) ensuring that participating founders and companies are informed of and agree to these Terms of Service; (b) maintaining appropriate authorization to share program participant data through the Platform; and (c) complying with any applicable educational privacy laws, including the Family Educational Rights and Privacy Act (FERPA), where program participants are students at an educational institution.
MYCOBI may collect and use aggregated, de-identified data about program outcomes and participation for research, product development, and benchmarking purposes as described in Section 35 below. Institutional Users may not redistribute, publish, or commercialize data obtained through the Platform about their program participants without the express written consent of MYCOBI and the applicable participants.
35.1 Scope of Data Use. The MYCOBI Platform collects a significant body of structured data about company readiness, fundraising preparedness, assessment outcomes, and business performance across a wide range of industries and stages. This data has substantial value for research, benchmarking, product improvement, and the development of industry-standard readiness frameworks. By using the MYCOBI Platform, you expressly agree that MYCOBI may collect, process, aggregate, and use your data for the purposes described in this Section 35, subject to the de-identification and privacy protections set forth below.
35.2 De-Identification Standard. For purposes of this Section, "de-identified data" means data that has been processed to remove or obscure all information that could reasonably be used to identify you, your company, your employees, or any individual associated with your account, including but not limited to: company name, founder name, account identifiers, specific financial figures attributable to a named entity, and any other information that — alone or in combination — could reasonably identify the source. MYCOBI applies industry-standard de-identification practices consistent with applicable privacy law before using any data for research or benchmarking purposes.
35.3 Permitted Uses of De-Identified Aggregated Data. MYCOBI may use de-identified, aggregated data derived from platform activity — including assessment responses, readiness scores, validation outcomes, improvement trajectories, funding outcomes where reported, and platform engagement data — for any of the following purposes, without restriction and without additional notice to you:
(a) Industry Benchmarking — developing and publishing aggregate benchmarks, statistical norms, and readiness indices that reflect the state of startup investment readiness across industries, stages, geographies, and funding types;
(b) Product Development — training, testing, and improving MYCOBI's assessment algorithms, scoring models, AI systems, and platform features using aggregate patterns derived from platform data;
(c) Academic and Applied Research — conducting or contributing to research studies, white papers, reports, and publications on topics including startup readiness, capital formation, accelerator program effectiveness, and investment decision-making;
(d) Commercial Publications — publishing aggregate insights, trend reports, industry analyses, and benchmarking data in any format, including for commercial distribution, media, or partner use; and
(e) Investor and Advisor Intelligence — providing aggregate, anonymized benchmarking data to investors, advisors, accelerators, and economic development organizations to improve their decision-making, provided no individual company is identifiable from such data.
35.4 Grant of Rights. By creating an account and using the MYCOBI Platform, you grant MYCOBI a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use your de-identified, aggregated data for all purposes described in Section 35.3. This license is a material condition of your use of the Platform. You acknowledge that the ability to use aggregated platform data for research and benchmarking is a core part of MYCOBI's value and business model, and that this license cannot be withdrawn after your data has been incorporated into aggregated datasets. Opting out of future data collection (as described in Section 35.5) does not affect data already incorporated into aggregated datasets prior to your opt-out.
35.5 Individual Data; Opt-Out of Future Collection. MYCOBI will not publish or disclose any individually identifiable information about you, your company, or your assessment results in connection with research or benchmarking activities without your explicit prior written consent. You may opt out of future research data collection at any time by contacting support@mycobi.com. An opt-out applies prospectively only and does not require MYCOBI to remove your data from aggregated datasets already compiled.
35.6 No Warranty on Research Findings. MYCOBI does not warrant that any research findings, benchmarks, indices, or industry insights derived from Platform data will be accurate, complete, current, or applicable to any individual User's circumstances. All published benchmarks and research outputs are provided for informational purposes only and do not constitute professional advice of any kind.
35.7 Institutional Research Partners. Where MYCOBI conducts research in partnership with educational institutions, government agencies, or third-party research organizations, such research will be conducted under data sharing agreements that require compliance with applicable privacy law and institutional review standards. Third-party research partners receive only de-identified, aggregated data and may not receive any data that identifies individual Users or companies.
MYCOBI may assign or transfer these Terms of Service, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of MYCOBI's assets. MYCOBI will notify registered Users of any such assignment that materially affects their rights. You may not assign your rights or obligations under these Terms of Service without MYCOBI's prior written consent.
MYCOBI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, labor disputes, internet or telecommunications failures, cyberattacks, or third-party service provider outages.
By registering for a MYCOBI account, you consent to receive electronic communications from MYCOBI, including transactional emails, platform notifications, assessment result summaries, and service announcements. You may opt out of non-transactional marketing communications at any time via the unsubscribe mechanism in any email or by updating your notification preferences in your account settings. You may not opt out of transactional communications necessary to the operation of your account.
MYCOBI's email communications comply with the CAN-SPAM Act. If you believe you have received a communication in violation of this policy, please notify us at support@mycobi.com.
MYCOBI DOES NOT OPERATE IN A FIDUCIARY CAPACITY WITH RESPECT TO ANY USER UNDER ANY CIRCUMSTANCES.
By using the MYCOBI Platform, you expressly acknowledge and agree that:
No fiduciary duty. MYCOBI owes no fiduciary duty — including no duty of loyalty, care, or disclosure — to any User, founder, investor, advisor, organization, or third party. Nothing in these Terms of Service, the use of the Platform, or any course of dealing between you and MYCOBI creates or implies a fiduciary relationship of any kind.
No investment advisory relationship. MYCOBI is not a registered investment adviser, broker-dealer, financial planner, or securities dealer under federal or state law. MYCOBI does not provide personalized investment advice and no content on the Platform constitutes a recommendation to buy, sell, or hold any security, asset, or investment instrument.
No legal or professional relationship. Use of the MYCOBI Platform does not create an attorney-client, accountant-client, or any other professional services relationship between MYCOBI and any User.
No agency relationship. MYCOBI does not act as agent, representative, or intermediary for any User in connection with any transaction, investment, funding, or business decision.
Platform as neutral infrastructure. MYCOBI provides technology infrastructure and informational tools that connect founders, investors, advisors, and organizations. MYCOBI is a neutral third party. It does not advocate for any User's interests over those of any other User, and it does not take a position on whether any particular investment, partnership, or business decision is appropriate for any User.
If you require fiduciary, investment advisory, legal, accounting, or other professional services, you should engage a qualified professional licensed to provide those services in your jurisdiction.
You agree to indemnify, defend, and hold harmless MYCOBI, Inc. and its officers, directors, employees, agents, contractors, and licensors (collectively, the "MYCOBI Parties") from and against any and all claims, demands, actions, damages, losses, obligations, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
MYCOBI reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with MYCOBI's defense of such claim. You may not settle any claim subject to this section without MYCOBI's prior written consent. ``
Export Controls. The MYCOBI Platform, including any software, data, technology, or services made available through it, is subject to the export control laws and regulations of the United States, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce and the International Traffic in Arms Regulations (ITAR) administered by the U.S. Department of State. You agree that you will not access, use, export, re-export, transfer, or disclose the MYCOBI Platform or any related technology or data in violation of these laws and regulations.
Sanctions Compliance. You represent and warrant that: (a) you are not located in, organized under the laws of, or ordinarily resident in any country or territory that is the subject of comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine (as updated from time to time); (b) you are not identified on, and are not majority-owned or controlled by any person identified on, OFAC's Specially Designated Nationals and Blocked Persons (SDN) List, the Consolidated Sanctions List, or any other applicable U.S. or non-U.S. sanctions list; and (c) your access to and use of the MYCOBI Platform will not violate any applicable sanctions program.
Restricted Use. You may not use the MYCOBI Platform to conduct, facilitate, or support any transaction or activity prohibited by U.S. economic sanctions or export control laws, including providing access to sanctioned individuals, entities, or jurisdictions.
Termination for Sanctions Violations. MYCOBI reserves the right to terminate your account and terminate access to the MYCOBI Platform immediately and without notice if MYCOBI determines, in its sole discretion, that you have violated this section or that continued provision of the Platform to you would violate applicable U.S. or international sanctions or export control laws.
42.1 Program Overview; Launch Enrollment. MYCOBI operates the MYCOBI Insider Program (the "Insider Program"), through which Registered Users receive early access to pre-release features, experimental tools, and functionality that MYCOBI is actively developing and validating with users (collectively, "Insider Features").
All user accounts created on or after April 1, 2026 — the date of MYCOBI's initial platform launch — are automatically enrolled in the MYCOBI Insider Program. This enrollment reflects the early stage of the Platform: while MYCOBI is open for user access, the Platform is not yet at a full commercial release stage. MYCOBI is an early-access product actively being validated with initial users, and all features available at launch should be understood as Insider Features subject to the terms of this Section 42.
Enrollment in the Insider Program is a condition of account creation during this period. A user's explicit acknowledgment of the beta nature of the Platform — as required at account registration — constitutes enrollment in the Insider Program and acceptance of the terms of this Section 42. MYCOBI will notify users through the Platform or via email when the Platform, or any specific feature, transitions from Insider to general availability status.
42.2 Beta Nature of Insider Features. ALL INSIDER FEATURES ARE PRE-RELEASE, EXPERIMENTAL SOFTWARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR EVALUATION PURPOSES ONLY. By enrolling in or accessing any Insider Feature, you expressly acknowledge and agree that:
(a) Insider Features are in active development and have not been subjected to the same level of testing, quality assurance, or security review as generally available Platform features;
(b) Insider Features may contain errors, defects, bugs, or vulnerabilities that could result in data loss, data corruption, service interruption, unexpected behavior, inaccurate outputs, or other adverse consequences;
(c) Insider Features may be modified, suspended, discontinued, or removed from the Platform at any time, with or without notice;
(d) Insider Features may not perform as described, may produce results that differ from any future general-availability version of the same or similar functionality, and may not be suitable for use in production environments or for any business-critical purpose; and
(e) Access to Insider Features does not constitute a commitment by MYCOBI to make those features generally available, to continue their development, or to offer them on any particular timeline.
42.3 Affirmative Sign-Off Required; Assumption of Risk. ENROLLMENT IN THE MYCOBI INSIDER PROGRAM REQUIRES YOUR AFFIRMATIVE, EXPLICIT ACKNOWLEDGMENT AT THE TIME OF ACCOUNT CREATION. DURING REGISTRATION, YOU WILL BE PRESENTED WITH A DISCLOSURE CONFIRMING THAT YOU ARE ACCESSING PRE-RELEASE BETA SOFTWARE. YOU MUST AFFIRMATIVELY CHECK, CLICK, OR OTHERWISE CONFIRM THIS DISCLOSURE BEFORE YOUR ACCOUNT IS ACTIVATED. THIS SIGN-OFF IS A MATERIAL CONDITION OF ACCESS.
BY COMPLETING ACCOUNT REGISTRATION AND PROVIDING THAT AFFIRMATIVE ACKNOWLEDGMENT, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THE DISCLOSURES IN THIS SECTION, THAT THE PLATFORM IS IN AN EARLY ACCESS STAGE AND NOT YET FULLY COMMERCIALLY RELEASED, AND THAT YOUR ACCESS AND USE IS ENTIRELY AT YOUR OWN RISK. MYCOBI EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO INSIDER FEATURES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. YOU ASSUME FULL RESPONSIBILITY FOR ANY CONSEQUENCES ARISING FROM YOUR RELIANCE ON OR USE OF ANY INSIDER FEATURE.
42.4 Limitation of Liability for Insider Program. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYCOBI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE MYCOBI INSIDER PROGRAM OR YOUR ACCESS TO OR USE OF ANY INSIDER FEATURE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00), REGARDLESS OF THE THEORY OF LIABILITY AND REGARDLESS OF WHETHER MYCOBI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIABILITY CAP IS SEPARATE FROM AND DOES NOT EXPAND THE AGGREGATE LIABILITY CAP SET FORTH IN §21. IN THE EVENT OF ANY CONFLICT, THE MORE RESTRICTIVE CAP APPLICABLE TO YOUR CLAIM SHALL APPLY.
42.5 Enrollment; Explicit Sign-Off at Registration. All users who create a MYCOBI account on or after April 1, 2026 are enrolled in the Insider Program as a condition of account creation. At the time of registration, MYCOBI will present each user with an explicit disclosure confirming the early access, beta nature of the Platform. The user must affirmatively check, click, or otherwise confirm that disclosure — this constitutes the required sign-off under §42.3 and is a prerequisite to account activation.
By completing registration and providing that sign-off, you represent and warrant that: (a) you are at least 18 years of age and have the legal capacity to enter into these Terms; (b) you will use Insider Features consistent with these Terms and for your own evaluation purposes; and (c) you have read, understood, and agree to the beta software disclosures set forth in this Section 42. MYCOBI may terminate Insider Program access or your account at any time, in its sole discretion, with or without cause.
42.6 Feedback; Confidentiality of Insider Features. Insider Program participants are encouraged to provide feedback on Insider Features. Any feedback, suggestions, ideas, bug reports, or other information you submit to MYCOBI in connection with the Insider Program (collectively, "Insider Feedback") is provided on a non-confidential, royalty-free basis. MYCOBI may use Insider Feedback for any purpose — including incorporating it into the Platform — without compensation, attribution, or any obligation to you. You shall not publicly disclose, discuss, publish, or otherwise communicate information about Insider Features, their existence, or their functionality without MYCOBI's prior written consent. The nature, design, and availability of Insider Features are treated as Confidential Information of MYCOBI until MYCOBI makes them publicly available.
42.7 No Service Level Commitment; No Support Obligation. MYCOBI does not guarantee any level of service, availability, uptime, performance, or response time for Insider Features. Support obligations under any subscription plan or service agreement do not extend to Insider Features unless expressly confirmed by MYCOBI in writing for a specific feature.
42.8 No Reliance for Business Decisions. Insider Features are provided for evaluation purposes only. You agree not to rely on any output, result, score, report, or recommendation produced by an Insider Feature for any material business decision, investment decision, regulatory filing, or other consequential purpose. MYCOBI is not liable for any loss, damage, or adverse outcome resulting from such reliance.
42.9 Program Modifications. MYCOBI reserves the right to modify the terms, eligibility criteria, available features, structure, and availability of the Insider Program at any time. MYCOBI will provide notice of material changes through the Platform or via email. Your continued access to Insider Features following such notice constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue participation in the Insider Program.
42.10 Relationship to Other Sections. This Section 42 supplements the general experimental platform disclosures set forth in §31. In the event of any conflict between this Section and §31 with respect to Insider Program features, this Section 42 governs. All other provisions of these Terms of Service apply to your use of Insider Features in full.
